Phantom wont fly. With 5 pin connector to compass device on leg disconnected it DOES fly, no problems, (Except a bit skittish, but easy to handle after a lot of experience with smaller "indoor" quads.) So whats the answer? Anybody else had this problem and fixed it?

Did you calibrate the compass?

Yes, compass calibrated, on account of I am a believer in reading the destructions before turning on the propellor twiddlers.
Interesting that said instructions are so twitchy about the compass they recommend not even keys in pocket. (But no mention of coins; alleged copper coins in Britain are actually made of ferrous metal and can be picked up with a magnet.)

Then I would suggest returning it to place of purchase as you have clearly got something wrong with it, you can try the firmware update and do all calibrations in the Naza software but I suspect you have already tried that.
